R2Y2 Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the platform operated by [R2Y2 Legal Entity Name, to be confirmed] ("R2Y2," "we," "us," or "our"), including our website, dashboard, marketplace, and related services (collectively, the "Platform"). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

These Terms incorporate by reference our Privacy Policy, Cookies Policy, and any rental terms, listing rules, or other supplemental policies published on the Platform from time to time.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.
  • Have the legal capacity to enter into a binding agreement.
  • Not be barred from using the Platform under applicable law, including economic sanctions, export control, or anti-money laundering regulations.
  • Complete any identity verification steps we may require.

We reserve the right to refuse service, suspend, or terminate accounts where eligibility requirements are not met.

3. Description of the Platform

R2Y2 operates a marketplace through which eligible users may:

  • Rent existing, verified websites with established domains and content, in exchange for a recurring fee.
  • Manage and develop rented websites, including publishing content, configuring appearance, and pursuing growth activities.
  • Monitor website performance through integrated tools, including Google Search Console and Matomo.
  • Monetize managed websites by renting on-site placements, such as call-to-action space, backlinks, or advertising space, to third parties.
  • List and sell websites outright through the marketplace, subject to applicable listing and transaction rules.
  • Hold and transact in USDT through an integrated wallet for rental payments, placement income, sale proceeds, and withdrawals.

R2Y2 acts as a marketplace and platform operator. Except where expressly stated, R2Y2 is not a party to rental, placement, or resale agreements formed directly between users, and does not guarantee the performance, profitability, or future value of any website asset.

4. Account Registration

You must register an account to access core Platform features. You agree to:

  • Provide accurate, current, and complete information during registration and to keep it updated.
  • Maintain the confidentiality of your account credentials and wallet access information.
  • Notify us promptly of any unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account, except to the extent caused by our breach of these Terms.

We may require additional verification, including identity documentation, before permitting certain transactions, particularly those involving withdrawal of funds.

5. Website Rental

5.1 Rental Arrangement

When you rent a website through the Platform, you obtain a limited, non-exclusive, revocable right to manage and develop that website for the duration of the rental term, subject to these Terms and any rental-specific terms presented at the time of rental.

5.2 Fees and Term

Rental fees are charged in USDT on a recurring basis as displayed at the time of rental. You may cancel a rental at any time. Upon cancellation or non-payment, the website returns to the marketplace inventory, and your management rights terminate. Fees already incurred are non-refundable except as required by law or as expressly stated in supplemental rental terms.

5.3 Use of Rented Websites

You agree to use rented websites in compliance with these Terms, applicable law, and any content standards published on the Platform. You may not use a rented website to publish unlawful, infringing, fraudulent, or harmful content, or to engage in activity designed to artificially inflate traffic, rankings, or engagement metrics in a manner inconsistent with the Platform's fair use expectations.

5.4 No Ownership of Domain

Renting a website does not transfer ownership of the underlying domain or any associated intellectual property except as expressly provided through a separate resale transaction completed in accordance with Section 7.

6. Placement Rental

Users managing a website may offer on-site placements, including call-to-action space, backlinks, or advertising space, for rental to third parties through the Platform. Placement rentals are subject to the credibility scoring, disclosure, and risk flag mechanisms described in Section 9. R2Y2 may set rules regarding permissible placement types, pricing display, and content standards, and may remove placements that violate these Terms or applicable law.

7. Website Resale

7.1 Listing and Sale

Eligible users may list managed websites for sale through the Platform marketplace. Listings must include accurate information regarding the website's domain, traffic, content, and performance history. R2Y2 may require minimum holding periods, verification steps, or other conditions before a website becomes eligible for resale.

7.2 Transaction Process

Resale transactions are completed through the Platform's transaction flow, including any offer, negotiation, and payment confirmation steps presented at the time of sale. Title and management rights transfer to the buyer upon completion of the transaction in accordance with the Platform's transaction rules. All sale proceeds are settled in USDT through the Platform wallet.

7.3 No Warranty on Resale Value

R2Y2 does not guarantee that any website will sell, that it will sell at a particular price, or that future demand for any website asset will exist. Valuation is determined by market activity between users.

8. Payments and the USDT Wallet

8.1 Currency and Network

All payments, rental fees, placement income, sale proceeds, and withdrawals on the Platform are denominated and settled in USDT on the BEP20 (BNB Smart Chain) network, unless otherwise specified.

8.2 Wallet Functionality

The Platform provides an integrated wallet allowing you to deposit, hold, receive, and withdraw USDT in connection with your Platform activity. You are responsible for ensuring that wallet addresses you provide for deposits and withdrawals are accurate. R2Y2 is not responsible for funds lost due to incorrect wallet addresses provided by you, or due to the inherent characteristics of blockchain transactions, including irreversibility.

8.3 Transaction Integrity

The Platform processes debits and credits using an atomic ledger system designed to ensure that balances are accurately maintained and that transactions cannot result in unintended overdrafts. A full transaction history is available to you through your account.

8.4 Withdrawals

Withdrawal requests are subject to verification, applicable processing times, and any limits or compliance checks we may apply, including anti-money laundering and fraud prevention review. We reserve the right to delay or decline a withdrawal where required for legal, regulatory, or security reasons, and will provide notice where practicable.

8.5 Fees and Taxes

R2Y2 may charge service fees in connection with rentals, placements, resale transactions, or withdrawals, as disclosed on the Platform at the relevant time. You are solely responsible for determining and paying any taxes applicable to your activity on the Platform.

9. Trust, Credibility Scoring, and Risk Flags

9.1 Credibility Scoring

The Platform applies a credibility scoring system to websites and listings, incorporating signals such as content quality, search engine optimization indicators, backlink profile, and account age. Credibility scores are provided for informational purposes to support transaction decisions and do not constitute a guarantee of website quality, performance, or future value.

9.2 Risk Flags

The Platform applies automated risk flagging to detect patterns such as traffic disproportionate to content volume, concentrated single-day traffic spikes, or other activity suggestive of manipulation. Flagged listings or accounts may be subject to additional review, restriction, or suspension. R2Y2 does not guarantee that all manipulative or fraudulent activity will be detected.

9.3 Consent and Disclosure Records

Certain rental and resale transactions require explicit acknowledgment of applicable terms before completion. We maintain timestamped records of such acknowledgments as part of the Platform's transaction integrity measures.

10. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of these Terms.
  • Manipulate website traffic, rankings, engagement metrics, or credibility scores through artificial, fraudulent, or deceptive means.
  • Misrepresent the characteristics, performance, or history of any website listed, rented, or sold through the Platform.
  • Circumvent or attempt to circumvent the Platform's payment, fee, or wallet systems, including conducting transactions intended to be facilitated by R2Y2 outside the Platform to avoid applicable fees.
  • Interfere with or disrupt the integrity or performance of the Platform, including through unauthorized access, malware, or automated scraping inconsistent with the Platform's published access rules.
  • Use the Platform to publish content that is unlawful, infringing, defamatory, fraudulent, or otherwise harmful.
  • Engage in money laundering, terrorist financing, or other illicit financial activity using the Platform's payment systems.

Violation of this Section may result in suspension or termination of your account, removal of listings, forfeiture of rights to pending transactions to the extent permitted by law, and reporting to relevant authorities where required.

11. Intellectual Property

11.1 Platform Content

The Platform, including its software, design, trademarks, and underlying technology, is owned by R2Y2 or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights to R2Y2's intellectual property except as necessary to use the Platform as intended.

11.2 User Content

You retain ownership of content you create or upload to a website you manage, subject to any rights transferred upon resale of that website in accordance with Section 7. By publishing content through the Platform, you grant R2Y2 a non-exclusive, worldwide license to host, display, and transmit that content as necessary to operate the Platform.

11.3 Website Domains

Ownership of website domains and associated assets remains with the applicable rights holder, whether R2Y2, a managing user following resale, or a third party, as determined by the Platform's transaction records.

12. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, R2Y2 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, reliability, or completeness of website performance data, credibility scores, or risk flags.

R2Y2 does not guarantee that any website will generate traffic, revenue, or profit, that rental or placement income will meet any particular level, or that any website will retain or increase in resale value. Website asset activity carries inherent commercial risk, and you are solely responsible for evaluating that risk before participating in any transaction.

13. Limitation of Liability

To the maximum extent permitted by applicable law, R2Y2 and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Platform, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, R2Y2's total aggregate liability arising out of or in connection with these Terms or the Platform shall not exceed the greater of the fees paid by you to R2Y2 in the twelve months preceding the event giving rise to the claim, or [amount to be confirmed].

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless R2Y2 and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your violation of these Terms, your violation of applicable law, or your infringement of any third-party rights.

15. Suspension and Termination

We may suspend or terminate your account or access to the Platform, with or without notice, where we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or where required by law. You may terminate your account at any time by following the process described on the Platform. Upon termination, outstanding obligations, including unresolved transactions and amounts owed, remain enforceable, and you remain entitled to withdraw any funds properly held in your wallet, subject to applicable verification and compliance review.

16. Changes to the Platform and These Terms

We may modify, suspend, or discontinue any part of the Platform at any time. We may also update these Terms from time to time. Material changes will be notified through the Platform or by email prior to taking effect. Continued use of the Platform after revised Terms take effect constitutes acceptance of the changes. If you do not agree to revised Terms, you must stop using the Platform.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved through good-faith negotiation in the first instance. If a dispute cannot be resolved through negotiation within a reasonable period, the parties agree to submit the dispute to the exclusive jurisdiction of the courts of Singapore, or to arbitration administered in Singapore in accordance with rules to be specified, at R2Y2's election. 18. General Provisions

18.1 Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

18.5 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and R2Y2.
